1. Name, registered office, financial year, language and membership of Evta-Be

  1. The name of the association is European Voice Teachers Association Belgium i.e. Evta-Be.

It is registered as a not-for-profit organization, in conformity with the legal requirements as stipulated in the Belgian Company Code

1.2. The registered office of Evta-Be is at Veldstraat 5, 2520 Ranst, Belgium, judicial district of Antwerp.

1.3. The financial year is the calendar year. The not-for-profit organization has been set up for an indefinite duration.

1.4 The not-for-profit organization is a member of EVTA (European Voice Teachers Association) without prejudice to its own independence and legal structure.

 

2. Objectives of the association

2.1 The objectives of the association are to promote and encourage the cultural, pedagogical and scientific aspects of:

  • vocal pedagogy in all styles of music;

  • a continued education and training of voice teachers, amateur and professional singers (solo as well as ensemble singing), choirs, singing students, professional speakers, actors and wordsmiths);

  • the support, monitoring and promotion of talented young singers;

  • scientific research of the singing and speach voice and especially the international exchange of knowledge.

2.2 The association exclusively pursues charitable and non-profit goals in accordance with the legal texts on the not-for-profit organization in the Belgian Company Code. The objectives of the Articles of Association will be achieved in particular by:

  • promoting communication between its members and related disciplines worldwide;

  • holding symposia, conferences, congresses, courses and seminars with the aim of exchanging and disseminating ideas and information;

  • promoting research projects and the dissemination of relevant information and ideas on vocal pedagogy within the European and international communities;

  • supporting, monitoring and promoting talented young singers, actors and wordsmiths.

2.3 Members may not share in the profits of the association, nor may they, in their capacity as members, receive other forms of payments out of the funds of the association. No person may unduly profit by incurring expenditures foreign to the aims of the association or by receiving unduly high compensation. All decisions regarding the reimbursement of expenditures will be made by the Executive Committee.

 

3. Membership

3.1.1 There are four types of members:

  • Effective Members

  • Acceding members

  • Supporting members

  • Honorary members

3.1.2 Individuals who are members of Evta-Be are allowed to participate in all events organized by Evta-Be. The type of membership determines whether or not a contribution needs to be paid or a reduction is being provided.

They automatically become a member of the umbrella association EVTA and may participate in conferences and activities abroad on the same terms as participants from other member countries for the duration of their membership in Evta-Be.

3.1.3 The Board of Directors determines the amount of the annual membership fee, which may not exceed € 1.000.

3.1.4 The membership fee shall be specified in the bylaws. The Board may take students etc. into account to determine the amount.

3.2 Effective members

3.2.1 Entry Conditions

Candidate effective members should submit their candidacy in writing to the chairman of the association. They will receive a confirmation by electronic communication, as well as the date on which their application will be submitted to the General Assembly. The General Assembly decides on the possible acceptance and will communicate this to the applicant within 8 days after the decision.

3.2.2 Rights and obligations

  • Only effective members have full authority in the organization.

  • Only effective members can be part of the Board.

  • Effective members are exempt from paying membership fees.

3.2.3 Termination of Membership

Resignation of effective members must be in writing. The resignation must be received by the General Assembly before November 30, so that the discharge can be effective for the following calendar year. The resignation will take effect at the end of the calendar year. Under no circumstance can fees or other financial transactions be claimed at dismissal.

An effective member can be excluded from the association by decision of the General Assembly if a violation of the interests of the association has taken place, in particular by dishonourable, improper or unprofessional behaviour, this list is not exhaustive.

A member who is expelled from the association or has voluntarily resigned his membership can no longer use the name Evta-Be.

3.3 Acceding members

3.3.1 Entry Conditions

When paying the membership fee, the member joined the association for the current year.

3.3.2 Rights and obligations

  • Acceding members must pay their membership fees annually.

  • Acceding members pay a fee for their participation in activities of Evta-Be as determined by the Board of Directors.

  • They receive a discount on the participation fee compared to non-members.

3.3.3 Termination of Membership

Membership for acceding members will be terminated at the end of a calendar year and should be re-entered for each subsequent calendar year.

In case of termination of membership before the end of the calendar year, no fees apply.

An acceding member can be removed from the association by a resolution of the General Assembly if gross violation of the interests of the association has taken place, in particular by dishonourable, improper or unprofessional behaviour, this list is not exhaustive.

A member who is expelled from the association or has voluntarily resigned his membership can no longer use the name Evta-Be.

3.4 Supporting members

3.4.1 Entry Conditions

After paying the membership fee, the member joined the association for the current year.

3.4.2 Rights and obligations

Supporting members are obligated to pay their membership fees annually.

Supporting members pay a fee for their participation in activities of Evta-Be as determined by the Board.

They receive a discount on the participation fee compared to non-members.

Supporting members receive no additional rights in comparison with acceded members.

3.4.3 Termination of Membership

Membership for supporting members is terminated at the end of a calendar year and should be re-entered for each subsequent calendar year.

In case of termination of membership before the end of the calendar year, no fees apply.

A supporting member can be removed from the association by a resolution of the General Assembly where there is gross violation of the interests of the association has taken place, in particular by dishonourable, improper or unprofessional behaviour. This list is not exhaustive.

A member who is expelled from the association or has voluntarily resigned his membership can no longer the name Evta-Be.

3.5 Honorary Members

3.5.1 Entry Conditions

Individuals or organizations who have rendered special services to the Association can be granted an honorary membership on recommendation.

3.5.2 Rights and obligations

  • Honorary members are exempt from paying membership fees.

  • Honorary members do not receive additional rights within the association.

3.5.3 Termination of Membership

An honorary member can be removed from the association by a resolution of the General Assembly when gross violation of the interests of the association has taken place, in particular by dishonourable, improper or unprofessional behaviour. This list is not exhaustive.

A member who is expelled from the association or has voluntarily resigned his membership can no longer use the name Evta-Be.

 

4 The Board of Directors

4.1 The Board consists of at least the chairman, a vice president, a secretary and a treasurer, appointed by the General Assembly.

4.2 The association is legally represented by at least one member of the Board

4.3.1 The term of office of the president, vice president, treasurer and secretary is in general not limited in time. The function can be terminated by the decision of the General Meeting, or may be voluntarily terminated by the procedure described in section 4.4.

4.3.2 The Board of Directors shall always be composed in such a way that as many styles as possible, training and research are equally represented.

4.4 Voluntary resignation must be done in writing. The resignation letter must be received by the General Assembly before November 30 so that the resignation can be effective for the following calendar year. The resignation will take effect at the end of the calendar year. Under no circumstance can fees or other financial transactions be claimed at dismissal.

4.5 If a member leaves the Board of Directors, for whatever reason, the duties of his function shall be performed by the other members of the Board until a replacement is elected by the General Assembly.

4.6 The Board generally takes its decisions in meetings. Notification must take place no later than eight days before the meeting. Participation in the meeting can take place via virtual participation (e.g. Skype and other electronic means). Afterwards, the minutes shall be signed by them to confirm their presence. Decisions are taken by simple majority. All these decisions must be recorded in the minutes of the next meeting.

 

5 The General Assembly

5.1 The General Assembly is the main decision-making body of the association. It decides on all matters assigned to it by law.

5.2 The General Assembly meets at least once a year. The date and place of the meeting will be determined by the Board. Notification must be received by the members in writing or by email at least 8 days prior to the meeting. The agenda is set by the Board. Each member of the General Assembly may request changes or additions to the agenda in writing two weeks prior to the meeting of the General Assembly. The chairman of the meeting must announce modifications or additions to the agenda at the start of the meeting. The Board decides on the changes or additions to the agenda that are requested at the meeting. A simple majority of those present is required to make changes to the agenda.

5.3 The Board may hold a Special Meeting of the General Assembly at any time should the interest of the association so require.

5.4.1 The General Assembly is chaired by the president, or in case of his absence, the Vice-President.

5.4.2 Minutes of the meeting of the General Assembly should be kept. The minutes of the meeting are signed by the chairman and secretary of the meeting.

5.5 Decisions are taken by simple majority of the valid votes of the members present or represented. If members cannot attend but still want to give input, they should vote at least a week prior to the meeting by delivering a power of attorney by email to the president.

5.6 New elections for the Board of Directors may also be held at a Special Meeting of the General Assembly.

 

6 Dissolution of the association

In case of the dissolution of the association, the current assets of the association can only be transferred to an institution that does scientific voice research.

 

7 Final

For all cases not anticipated in the Articles of Association, the decisions of the not-for-profit organization Legislation, including the Law of June 27, 1921, as amended by the Law of May 2, 2002 are applicable.

The term “students” is defined as those who trained singing, drama / drama, speech therapy in recognized academies, colleges and universities.

This reduction applies during training (to 26 years) and up to two years after graduation. Then they are considered a normal member.
